Agreement to these Terms
These Terms of Service (“Terms”) govern your access to and use of KeyBot CRM’s website, software, and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
The Service
KeyBot CRM provides a team workspace for conversational customer engagement, including features that may integrate with messaging platforms (such as Meta channels), commerce platforms (such as Shopify), and optional AI-assisted drafting or automation features.
We may modify, suspend, or discontinue parts of the Service (including features in closed alpha or beta) with reasonable notice where practicable. We are not responsible for third-party platform availability, policy changes, or API limitations outside our control.
Accounts and eligibility
You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. We may use third-party identity providers (such as Clerk) to authenticate users.
You must be legally able to enter into a binding agreement in your jurisdiction. If you do not meet eligibility requirements, do not use the Service.
Customer data and your responsibilities
You control the content you submit to the Service, including customer messages and related records (“Customer Data”). You grant KeyBot a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Service as instructed by you.
You represent that you have all rights and consents necessary to submit Customer Data and that your use of the Service complies with applicable law, including privacy, marketing, and communications rules. You are responsible for your relationships with your customers and for notices you provide to them.
Acceptable use
You will not misuse the Service. Without limitation, you will not: violate law; infringe intellectual property or privacy rights; send unlawful, harmful, or deceptive messages; attempt unauthorized access to systems or data; interfere with the Service’s integrity or performance; use the Service to build a competing product by scraping or automated extraction contrary to our policies; or use the Service to distribute malware or spam.
We may investigate violations and suspend or terminate access where we reasonably believe it is necessary to protect the Service, other customers, or the public.
Third-party services and platform terms
The Service may interoperate with third-party platforms (including Meta products and Shopify). Your use of those platforms is subject to their terms and policies. You are responsible for complying with platform rules, obtaining required permissions, and maintaining valid connections and approvals (including app reviews where applicable).
We do not control third-party services and are not liable for their actions, content, or availability.
AI-assisted features
If you enable AI-assisted features, outputs may be inaccurate or incomplete. You remain responsible for reviewing content before sending it to customers and for compliance with applicable laws and platform policies. Do not submit highly sensitive personal data to AI features unless you have determined it is appropriate under your policies and legal obligations.
Closed alpha / beta
If you participate in a closed alpha, beta, or preview program, the Service may be unstable, features may change frequently, and service levels may differ from production commitments. Feedback you provide may be used to improve the Service without restriction.
Fees and taxes
If you purchase paid plans, fees and billing terms will be presented at purchase or in an order form. Unless stated otherwise, fees are non-refundable except as required by law. You are responsible for applicable taxes.
Intellectual property
KeyBot CRM and its licensors own the Service, including software, branding, and documentation, subject to the limited rights expressly granted to you. Except as permitted by law or expressly allowed in these Terms, you may not copy, modify, distribute, sell, or reverse engineer the Service.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYBOT-CRM AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO KEYBOT FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (USD $100) IF NO FEES APPLIED.
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted.
Indemnity
You will defend and indemnify KeyBot CRM and its affiliates, officers, directors, employees, and agents against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your Customer Data, your use of the Service, or your violation of these Terms or applicable law.
Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for violations of these Terms, risk to the Service, non-payment (if applicable), or as required by law. Upon termination, your right to use the Service ceases; provisions that by their nature should survive will survive.
Governing law and disputes
Unless mandatory local law requires otherwise, these Terms are governed by the laws of the jurisdiction in which KeyBot CRM’s operating entity is established, without regard to conflict-of-law principles. Courts in that jurisdiction have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
If you are a consumer, you may have rights under mandatory local law that cannot be waived; nothing in these Terms limits those rights.
General
These Terms constitute the entire agreement between you and KeyBot regarding the Service and supersede prior understandings on the same subject. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
